1.1 By accessing or using the Paykode service, you agree to comply with and be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the service.

2. Definitions

2.1 "Paykode" refers to the platform and services provided by Paekode Nigerial Ltd, including but not limited to the website, mobile app, and associated tools.

3. Use of Service

3.1 Eligibility

3.1.1 To use Paykode, you must be at least 18 years old and have the legal capacity to enter into contracts..

3.2 Account Registration

3.2.1 You agree to provide accurate and up-to-date information when registering for an account on Paykode

3.2.2 You are responsible for maintaining the security of your account and password. Notify Paykode immediately if you suspect any unauthorized access to your account.

4. Privacy

4.1 Data Collection and Use

4.1.1 Your use of Paykode is subject to our Privacy Policy, which can be found at Privacy Policy. By using Paykode, you consent to the collection, processing, and use of your personal information as outlined in the Privacy Policy.

5. Payment Processing

5.1 Transaction Fees

5.1.1 Paykode charge fees for certain transactions, such as payment processing and escrow servicing fees. These fees will be clearly communicated to you before the transaction is completed.

5.1.2 Paykode facilitates payments between users and may use third-party payment processors. By using our service, you agree to the terms and conditions of these payment processors.

5.2 Transaction Duration

5.2.1 Paykode retains the funds until the completion of the transaction cycle, typically within a time frame ranging from 1 hour to 7 days. The duration is contingent upon the confirmation of both deliveries and payments.

6. User Conduct

6.1 Prohibited Activities

Below are some of the key principles we adhere to:

6.1.1 You agree not to use Paykode for any unlawful or prohibited purpose, including but not limited to fraud, money laundering, or illegal money transfers.

6.1.2 You must not engage in any activity that could harm, disrupt, or damage Paykode's services or reputation, including attempting to access unauthorized parts of the platform or introducing malicious software.

7. Content

7.1 User-Generated Content

7.1.1 Users may post content on Paykode, such as reviews, comments, or messages. By doing so, you grant Paykode a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content for the purpose of providing the Service.

8. Intellectual Property

8.1 Ownership of Content

8.1.1 All content on Paykode, including logos, text, images, and software, is protected by intellectual property rights owned by the Company. You may not use this content without explicit written permission.

9. Termination

9.1 Account Termination

9.1.1 Paykode reserves the right to terminate or suspend your account at its discretion, without notice, if you violate these Terms and Conditions or engage in fraudulent or abusive behavior.

10. Disclaimer of Warranties

10.1 Service "As Is"

10.1.1 Paykode is provided "as is" without warranties of any kind, either expressed or implied, including, but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

11. Limitation of Liability

11.1 Exclusion of Damages

11.1.1 Paykode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of funds, profits, or revenues, whether incurred directly or indirectly.

12. Governing Law and Dispute Resolution

12.1 Applicable Law

12.1.1 These Terms and Conditions are subject to, and shall be governed by, the laws of Nigeria, without reference to the principles of conflict of laws thereof.

12.2 Dispute Resolution

12.2.1 Every transaction has a code that enable buyer to authorize payment to seller or get refunds using same code.

12.2.2 Failure for the buyer to authorize payment to seller within 48hrs of delivery confirmation, seller will be credited automatically.

12.2.3 If a buyer request a refund, the seller is immediately informed of the refund request, the seller would have to authorize the refund before the refund can be successful.

12.2.4 The seller can log a dispute when he finds the refund request problematic.

12.2.5 In the event the seller refused to take action or ignores a refund request within 72 hours and refused to log a dispute, the buyer shall be credited automatically after 72 hours.

12.2.6 All disputes are communicated to Paykode and resolve through the Paekode dispute email channel disputes@paykode.com.

12.2.7 Paykode’s Dispute Team ensures disputes are resolved within 1 to 7 working days.

12.2.8 If Paykode’s Dispute Team are unable to resolve a dispute within it dispute resolution framework, funds are withheld till such dispute are resolved between buyer and seller and funds can only be disbursed following an order from a court or arbitrator authorizing such disbursement.

12.3 Jurisdiction

12.3.1 The Parties unconditionally consent and submit to the jurisdiction of the High Court of Port Harcourt, Nigeria, for the purposes of enforcing the arbitration decision and addressing any related matters.

12.4 Injunctive Relief

12.4.1 It is explicitly acknowledged that nothing in these Terms and Conditions shall preclude Paykode from seeking injunctive relief or any other provisional remedy from any court having jurisdiction over the Parties and the subject matter of the dispute when necessary to protect Paekode Nigeria Ltd, proprietary information, trade secrets, know-how, or any other intellectual property rights.

13. Changes to Terms and Conditions
